Terms & Conditions

BY ACCESSING OR USING THE SITE, YOU AGREE THAT YOU HAVE READ AND UNDERSTOOD, AND AGREE TO BE BOUND BY, THESE TERMS & CONDITIONS ("TERMS"). IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE THE SITE.

These Terms form a legally binding agreement between you and Menlo Research Pte. Ltd. ("Menlo", "we", "us", or "our").

1.Overview

The Site provides information relating to Menlo Research, including research initiatives, robotics projects, documentation, media, open-source resources, and related materials.

2.Eligibility

By using the Site, you represent and warrant that:

  • you have not previously been suspended or removed from the Site by Menlo Research; and
  • your use of the Site complies with all applicable laws and regulations.

3.Limited Licence

Subject to your compliance with these Terms, Menlo Research grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Site for personal and informational purposes only.

4.Licence Restrictions

Except to the extent prohibited by applicable law, you may not:

  • reproduce, distribute, publicly display, or publicly perform the Site or its content;
  • modify or create derivative works from the Site;
  • interfere with or circumvent any security or access features of the Site;
  • use the Site for unlawful, fraudulent, or harmful purposes;
  • upload or distribute malicious code or harmful materials;
  • attempt to gain unauthorised access to the Site or related systems.

5.Feedback and Communications

Do not submit confidential or proprietary information through the Site. If you provide feedback, suggestions, or ideas regarding the Site ("Feedback"), you agree that such Feedback is non-confidential and that Menlo may use, reproduce, modify, and exploit such Feedback without restriction or compensation.

The Site, including all content, text, graphics, branding, logos, designs, software, documentation, and other materials made available through the Site ("Materials"), are owned by or licensed to Menlo Research and are protected by applicable intellectual property laws. Except as expressly permitted by Menlo Research, you may not use the Materials without prior written permission. Certain linked repositories or materials may be subject to separate open-source licences. Those licences apply solely to the applicable materials.

7.Third-Party Links

The Site may contain links to third-party websites, repositories, or services. Menlo Research does not control and is not responsible for the content, availability, or practices of third-party websites or services.

8.Prohibited Conduct

By using the Site, you agree not to:

  • use the Site in violation of any applicable law or regulation;
  • infringe or misappropriate any third-party rights;
  • interfere with the operation or security of the Site;
  • impersonate any person or entity or misrepresent your affiliation;
  • use automated systems to access the Site in a manner that sends excessive requests or disrupts normal operation;
  • attempt to do any of the foregoing or assist others in doing so.

9.Modification of the Site or Terms

Menlo Research reserves the right to modify, suspend, or discontinue the Site, or any portion of the Site, at any time without notice. We may also update these Terms from time to time. Continued use of the Site after any updates constitutes acceptance of the revised Terms.

10.Termination

Menlo Research may suspend or terminate your access to the Site at any time, with or without notice, if you violate these Terms or applicable law. Upon termination, your right to access and use the Site will immediately cease.

11.Disclaimers

THE SITE AND ALL MATERIALS MADE AVAILABLE THROUGH THE SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, MENLO RESEARCH DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

MENLO RESEARCH DOES NOT WARRANT THAT:

  • THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE;
  • THE SITE OR ITS CONTENT WILL BE ACCURATE, COMPLETE, OR CURRENT; OR
  • ANY DEFECTS OR VULNERABILITIES WILL BE CORRECTED.

YOUR USE OF THE SITE IS AT YOUR OWN RISK.

12.Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MENLO RESEARCH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SITE OR ANY MATERIALS MADE AVAILABLE THROUGH THE SITE.

13.Indemnity

You agree to defend, indemnify, and hold harmless Menlo Research and its officers, employees, affiliates, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of:

  • your use or misuse of the Site;
  • your violation of these Terms; or
  • your violation of any applicable law or third-party rights.

14.Governing Law

These Terms are governed by the laws of Singapore, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms or the Site shall be subject to the exclusive jurisdiction of the courts of Singapore.
